(“NP360”): For good and valuable consideration, including the opportunity to appear in one or more audio-visual projects produced by NP360 ( each , a “Project”), the receipt and sufficiency of which is acknowledged, I hereby agree that NP360 has my permission to photograph, film/videotape me and record my voice, and to use such materials and any other material I provide, and my name, voice, likeliness, image and information about me (collectively referred to as the “Appearance”) in the Project, and in the advertising and promotional thereof, including any supplemental and ancillary materials, and for commercial tie-in purposes in connection with the Project, in any and all media now known or hereinafter devised, worldwide, in perpetuity. It is understood and agreed that NP360 shall have the right to combine the Appearance with any other materials in connection with the Project and shall have the right to edit, rearrange, very, change, alter, modify, add to and delete from the Appearance. I hereby waived the benefits of any provision of law known as “droit moral” or any similar law in any jurisdiction. I warrant and represent that I have the right to enter into this agreement and to grant the rights to the Appearance herein conveyed. I confirmed that any statements made by me during the Appearance will be true and will not violate or infringe upon any third party’s rights. I hereby irrevocably release NP360 (including its licensees and assign) from any and all claims of any nature (including rights of privacy and publicity) with respect to the use of the Appearance in connection with the Project, the rights granted herein and/or any acts don’t by me during or in connection with my Appearance. NP360 shall exclusively own all now known and/or hereafter existing rights of every kind (including, without limitation, copyright) throughout the universe, in perpetuity, in and to the Project, and all elements therein, for all now known and/or hereafter existing uses, media, and forms. I agree that I shall not disclose any information regarding the Project or my participation therein in and any and all media whatsoever, including without limitation, any social networking site; personal website; or any other website whether now known or hereafter devised. For example, I understand that I may not make disclosures prohibited hereunder via Facebook, Twitter, YouTube or any other similar website. I understand and acknowledge that all aspects of the publicity and promotion for the Project shall be at Producer’s and it’s designees’ sole discretion. I understand and agree that the Project is not subject to any collective bargaining agreements which might be applicable to the type of services furnished or rendered herein by me and that this Project is a non-guild production and there will be no residual or any other type of payment due in connection with my Appearance. I understand that NP360 may assign the rights and/or extend this permission to third parties, in NP360’s Sole discretion, in connection with any of the permitted uses indicated above. I acknowledge that, other than as stated herein, NP360 has not said or promised anything to induce me to grant NP360 this permission. The permission and all the rights granted to NP360 are irrevocable and not subject to rescission, revocation or termination. I agree that in no event shall I be entitled to enjoin or restrain the distribution or exhibition of the Project or any other audio-visual work produced by NP360, or the use, publication, or dissemination of any advertising issued in connection there with and I irrevocably waive any right to equitable or injunctive relief. This release shall be binding on all of my successors-in-interest and heirs. This agreement shall be governed by the laws of the State of Georgia. The parties hereto agree to submit to jurisdiction in the State of Georgia.*
